What Can a Part-time Virtual Chief Financial Officer (CFO) Do For You

LLC’s can Legally Convert to an S Corporation Saving Thousands Annually : LLC’s came in vogue when the state of Georgia enacted legislation allowing an LLC to be established. Although the LLC does allow for some greater flexibility and ease of operation it often results in a higher tax obligation that might not have been incurred if the business was an S Corporation. Tax law treats all the earned income from an LLC as being subject to both FICA & Medicaid taxes whereas an S Corporation has to pay those taxes reflected on W-2’s. For tax purposes, the law allows an S Corporation to legally convert to being an S Corporation as long as all active employee/owners pay themselves a fair and reasonable salary. This number is best determined by the facts, position, and profit of a business and the truest test of this calculation is what a business owner would have to pay someone else to perform their position. There are only four rules to qualify for being an S Corporation.  You must: Have a December 31st year-end. Have less than 100 shareholders. Have shareholders who are U.S. citizens or resident aliens. Consider setting up a qualified profit sharing plan in addition to what you have already done in order to both attract and retain employees, plan for your retirement, and to lower your annual tax liability. If for example you set aside an additional $30,000 to profit sharing you would save approximately $10,000 annually. Finding Missed Tax Deductions is a annual goal of both the CPA and the client alike. Ensuring that you find any and all business expenses that can be claimed focuses on both seeking to find Un-reimbursed business expenses. Regardless of one’s skill level or record keeping ability, it is difficult to recall all business expenditures that one incurs in the day-to-day normal business operations.  Thus, it is critical to routinely track and record business expenses as they are incurred.  To best do this owner would be prudent to document business mileage and other expenses each and every day as they are incurred.  Turning in expense reports at least once a month are also excellent barometers to ensuring that no business expense is missed.  For it is impossible at year-end or after a protracted period to recall the variety of expenses incurred for which daily tracking and recording alone will discover. When a business looks to acquire a new building I would suggest having the owners buy it in the name of a separate LLC so as to protect the asset from both corporate and personal liability and then to rent the building from the new LLC. I would suggest setting this up as a triple net lease. 

I suggest we review your Shareholder Agreement to ensure that it is properly drafted both to reflect your wishes and to ensure continuation of your business. 

If the Lawyers/Owners are married I would consider shifting assets to their wife to limit their exposure to Professional Liability Statutes/Issues. 

I would suggest that the owners have not recently done so that we all meet with a tax attorney to discuss:

-Setting up family trusts to protect assets from personal liability.

-Do estate planning to cover the anticipated estate taxes that might be due and to purchase key man life insurance to fund any expected liability, to ensure that corporate assets do not have to be sold in the event of the loss of one of the partners.
