 IRS Final Due Date for 2009 Calendar Year Corporate Income Tax Returns is September 15, 2010. 

Wanted to be sure I gave you plenty of notice. 

The 2009 corporate income tax returns final due is September 15, 2010. To ensure we have plenty of time to prepare your returns by the due date I suggest you get me your corporate data by August 15, 2010. 

Please be reminded that the final due date for personal returns is 10-15-10 and that the IRS deems an extension to file as not an extension to pay and that any/all unpaid tax monies due on 2009 personal returns should be paid ASAP.

Please be reminded that the IRS/GA offers no extensions beyond the above dates and that after that they both will add late filing penalties to already potentially due late payment penalties and interest.

Jesus encourages us in our faith to do even greater things than He did. Imagine it, for a moment, let the thought sink in. The King of the Universe and the Creator of All, Abba Father tells us that we can do great things in His name. We are further encouraged by the Apostle Paul, to be bold in our Faith living up to the destiny and calling on our lives. I believe that each and every one of you who have felt the call to go on this trip has great things that you will each do, as you serve the Navajo people and each other, by being the very hands and feet of Jesus Christ.

Through the day I think of myself as a mild mannered CPA, but during the evening that I am a Warrior for the Kingdom of God. Recently I received a note from one of our very important team members that speaks volumes as to why I believe that Mission work is one the very best ways to release God’s power into your life. I invite you to read it solely and listen to God’s pulling on your heart. 

Good morning family.  It always amazes me of God’s perfect timing.  Last evening some of us met to discuss future plans for our next visit to our second home, Pueblo Pintado and this a.m. I finally carve time out of my busy schedule to sit and read Carol’s amazing words of reflection on our trip this year to Pueblo Pintado!!!!!!!!!!!  Praise God for Carols’ gift and time to assist us in remembering who’s we are and who we serve.  Carol I can’t thank you enough for your special gift to us all.  I was once again able to enjoy our journey and mission, but to also get caught up with the other Miracles God has provided for other team members.  PRAISE GOD!   

As we were driving home last evening (he tired from a long day at work) we both agreed how blessed and full of sweetness our life has become.  Our PP family adds to that sweet taste and fills our hearts to a different level.  It is amazing how comfortable and safe I feel with my mission team family.  I truly have nothing to hide, I am able to share my weaknesses and strengths and am loved for both.  Thank you Lord for your blessings on this mission team.  We feel your love and spirit.

Jesus came to Serve the World and not to rule over us. He made himself like a servant desiring to be the very least among us choosing to be obedient, even to death on a cross. Though Jesus could have, at any time, called down a legion of angels to take over the world so that He might rule it, instead he desired to be more like a bondservant rather than a King. It is in his perfect example of humility, which is Power Under Control, Jesus Chose to reach out to us at our level. It is when we meet people at their station of life, not ours, that God can use our weakness to His Glory.

When I have personally watched Believers Served the Lost, the Last and the Least I have watched and discovered it is at that time, that the Redeeming Power of God is released into the world and into the servers as we seek to be the Very Hands and Feet of Jesus Christ.

My Lord and Savior calls me deeper into His embrace and it is at this point I find myself asking you, “what will you do this Holiday Season to serve God?” Though family events, buying gifts for loved ones and spending time with those to whom I hold most dear, there can be no bigger gift to my wife, my children and to my God than serving Him this Thanksgiving and Christmas. On Tuesday, November 17th we are going to gather at Sugarloaf United Methodist Church (1795 Old Peachtree Road, Duluth 30097) in the Town Hall at 6:30PMYou do not have to be present to serve God with us. We will need many behind the scenes preparing lunches and preparing yummy casseroles to take with us.  

We  will have a signup sheet for everyone and are asking everyone to provide at least one dish to take with us down to The Gardens.  If you have friends who might be willing to cook an extra dish of whatever they are serving their families for Thanksgiving, please ask them to contribute – it would be such a huge help.

Providing for the Homeless takes much more than a good meal on Thanksgiving. We are looking for church groups and individuals to partner with us throughout the year to Get God to The Lost and The Last and The Least. Below please find a few of their ongoing physical needs.  
1) Sanitation and cleaning supplies. 2)Commercial brooms and mops. 3)2 new commercial vacuum cleaners. 4)Another amp for our sound system. 5)Blankets and sleeping bags 6)3 new washer machines and dryers 7) 1 new refrigerator/freezer white for the apartment All the number 10 cans of vegetables that we can get. 9) All the lunch meat that we can get. 10) Gas cards for the buses and vehicles. 11) A new bus 12) Two 5 gallon beverage containers 13) Toothbrushes and toothpaste 14)Paper plates and plastic forks 15)Last but not least monetary gifts are always a necessity at 7 bridges.  16) Washers and dryers 17) Refrigerators and freezers.

Please note that also the ministry has an ongoing need for those to worship with their hands and feet by offering to assist with construction projects on site and Serving the Homeless on Thanksgiving and at Christmas.

Gwinnett CPA on Converting Your Georgia C Corporation or Georgia LLC to an S Corporation

Incorporating in Georgia 

With changes over the last ten plus years in state law, more and more Georgia based businesses are incorporating as an LLC because of the ease of the initial set up of the business entity. However, frequently this may not be the best “tax choice” for the business as an LLC pays FICA and Medicaid taxes on all of its net earnings out of the business, whereas an active S Corporation owner will pay FICA and Medicaid taxes on its W-2. Tax law does require, however, that all S Corporation owners are to take a fair and reasonable salary given position and profit. Though the election is not in the best interest for all business’s as many LLC’s should stay an LLC for both legal and tax purposes, becoming an S Corporation is often a prudent decision for the following types of business: 

-Trade Contractors such as builders, painters, landscapers, electricians, plumbers, etc.

-Retail shops such as boutiques, restaurants, clothing stores, furniture, appliances, video equipment, etc.

-Computer technicians such as contractors, retailers, repairs, programmers, etc.

-Sales Representatives  including residential and commercial real estate agents, brokers, including those of most all types and territories.

-Distribution companies, resellers, wholesalers, and those in the distribution chain of a product of service.

-Service companies including consultants of all  types, single owner physicians, dentists, doctors, chiropractors, etc. 

C Corporations were once much more popular as an entity choice but as consumers and entrepreneurs became more aware and informed, C Corporations are much less pursued as a viable option as business owners sought to legally avoid the “double taxation” exposure of C Corporations as they are taxed first at the corporate level and then again at the personal level when monies are paid out of the corporation to the companies’ respective owners. 

How S Corporations are Taxed 

There is no income tax paid by as S Corporation when the annual tax return is filed to the IRS. However, as a part of the corporate return which is prepared, a Form 1120S, there is an attached schedule which shows each owners respective ownership percentage and via a Form K-1 for which each shareholder should reflect on their personal return. K-1 profits, losses, and shareholder distributions are all required by tax law to be issued based upon the each shareholders ownership percentage. In order for losses to be deductible a shareholder has to have a positive tax basis, which is a component of past profits, losses, and loans to and from the business. If a shareholder has no basis to cover losses reported on a K-1, they are by tax law considered to be “suspended losses” and can be rolled forward to future years when the shareholder has positive basis, which can be created by future years profits or the shareholder loaning money to the business. 

An owner should report the K-1 profit, which is based upon their share of the business and not the amount of their shareholder distributions. This is a common misnomer about S Corporations and often leads to confusion for the new business owner. To that end it is best to remember that you pay taxes on the profits when you make them and not when you take them. For example generally speaking if your business nets $100,000 and you are the sole owner, you will pay taxes on $100,0000 whether you take zero dollar of shareholder distributions, a $100,000 or any number in between. Thus if you were to have a $100,000 profit in any given year and take no distributions then you would be able, absent any other issues, to take shareholder distributions in subsequent years with no additional tax responsibility as these monies would have already been taxed.

The rules of being an S Corporation are only four and many businesses will qualify. To be an S Corporation you must have:

  • Have a December 31st year-end.
  • Have less than 100 shareholders.
  • Shareholders have to be U.S. citizens or resident aliens.
  • Only one class of stock

 For LLC’s that change from an LLC for legal purposes to an S Corporation for tax purposes, the LLC remains an LLC with the Georgia Secretary of State along with all other legal purposes. Thus, your LLC makes solely a tax election which affects none of the other contracts, licenses, trademarks, legal filings, and legal obligations of the LLC.

I recently received an inquiry from a client regarding their capital losses and their investment decisions and it is listed below:

John, I need to know how much I have in carryover losses to apply to this year’s capital gains.  I’m trying to decide if I need to sell off some of the gains I have this year to offset some of the loss from previous years. Thank you. 

There is a carryover from last year to future years of $9,000. My general advice is not to sell an investment unless you are planning on getting out of it anyway.  When generating short term gains of investments held one year or less, you tax at ordinary income rates, though you can use long-term or short-term losses to offset taxes on capital gains. (The most tax-efficient use of capital losses is to offset short-term capital gains.) You can also use up to $3,000 in net capital losses to reduce the amount of ordinary income that is subject to tax. If you would like to discuss further please do not hesitate to call. All too frequently I see situations where taxpayers seek to make management or investment decisions based upon tax considerations thereby letting the “tail of the dog wag the dog.” Though tax environments and impacts should never be discounted, they should never be the primary consideration. Gwinnett CPA on Determining Where Your Business Should Pay Its Taxes/Have State Payroll Withholding

Risk Management 101

Being aware of where and when to incorporate and where your business/company should pay its taxes and have payroll withholding on its employees, will provide you with needed insight to avoid unnecessary pitfalls, fees, and legal issues that befall many. There is a lot of hype out there about where to incorporate that may well lead you to discover that the steps you made to protect your business while in good faith, have caused complexities that hurt rather than help your business. In general there are several criteria to evaluate when considering where to originally incorporate/domicile your business as well as where to have your business do state withholding on its employees. All the criteria should be looked at in aggregation to consider including:

Base Business Operations – Where your business actually earns money and produces income is a critical component to consider in determining where your business should legally domicile and register. For example if your headquarters is in Georgia, you would incorporate in GA absent any other substantive issues. However if your business transacts business operations in other states you would want to consider registering your corporation as a foreign corporation in that other state. This designation does not register you as a foreign corporation to the U.S. but to the state where you are transacting business and have substantive business operations.

Employer/Employees – For all states where you have employees you will want to be sure to register and incorporate in those states whether you have an office in that state or even if you solely have employees who work out of their homes in those states.  Generally speaking if you had an employee who was in a state for a very brief amount of time, then it would be cost disadvantageous to comply with all of the applicable state laws. As such, it is prudent to work with a CPA/your attorney to determine a wise and judicious Risk Management Policy.

Office/Physical Location – For all locations that your business has a physical location and on-going physical presence, you will want to register your corporation as doing business in that state. This would also likely ensure/require you to do state withholding in those states where you have employees and to withhold state income taxes and pay appropriate state and local income taxes.

Having a sound risk management plan is an integral part of the incorporation/registration process and is tantamount in making wise and informed decisions.
